Confidentiality & Non-Disclosure Policy
Purpose
The purpose of this Confidentiality & Non-Disclosure Policy (“Policy”) is to safeguard the confidential, proprietary, and sensitive information of Liunova and to ensure that such information is used exclusively for legitimate business purposes. This Policy reflects Liunova’s commitment to ethical business practices, responsible information management, and the protection of intellectual property in both domestic and international markets. By establishing clear standards for confidentiality, Liunova aims to maintain trust with its employees, partners, suppliers, customers, and stakeholders worldwide.
Scope
This Policy applies to all individuals and entities who access, receive, handle, or are otherwise exposed to Confidential Information of Liunova, whether directly or indirectly. This includes, without limitation, full-time and part-time employees, temporary staff, consultants, contractors, suppliers, vendors, distributors, agents, business partners, investors, and any third parties engaged with Liunova.
The obligations set forth in this Policy apply regardless of the form in which information is disclosed, whether oral, written, electronic, visual, or otherwise, and remain applicable throughout the period of engagement and after its termination, as further described herein.
Definition of Confidential Information
For the purposes of this Policy, “Confidential Information” refers to any non-public information relating to Liunova’s business, operations, products, or strategy that is disclosed or made available in the course of business activities. Confidential Information includes, but is not limited to:
-Product formulations, recipes, processing techniques, and nutritional compositions
-Research and development data, testing results, and innovation initiatives
-Supplier, farmer, distributor, and logistics partner information
-Pricing structures, cost models, financial statements, forecasts, and budgets
-Business plans, marketing strategies, branding concepts, and export or expansion plans
-Customer information, contracts, purchasing data, and market research
-Internal policies, procedures, manuals, reports, and internal communications
-Software, databases, IT systems, and technical documentation
-Intellectual property, trade secrets, proprietary know-how, and operational methods
Information shall be deemed Confidential Information whether or not it is expressly marked as “confidential,” if a reasonable person would understand the nature of the information to be confidential based on the circumstances of disclosure.
Exclusions from Confidential Information
Confidential Information does not include information that the receiving party can demonstrate, through written records or other reliable evidence:
-Is or becomes publicly available without breach of this Policy
-Was lawfully known to the receiving party prior to disclosure by Liunova
-Is lawfully obtained from a third party without restriction or breach of obligation
-Is independently developed without reference to or use of Liunova’s Confidential Information
-Is disclosed with the prior written authorization of Liunova
The burden of proof for establishing any exclusion rests with the receiving party.
Obligations of Confidentiality
All persons and entities subject to this Policy are required to protect Confidential Information with the highest degree of care reasonably expected in a professional business environment. Such persons and entities shall:
-Use Confidential Information solely for authorized Liunova business purposes
-Restrict access to Confidential Information on a strict need-to-know basis
-Prevent unauthorized disclosure, copying, modification, or misuse
-Safeguard Confidential Information from loss, theft, or unauthorized access
-Avoid discussion of Confidential Information in public or unsecured environments
Confidential Information shall not be transmitted through personal email accounts, unsecured messaging applications, social media platforms, or any unauthorized systems or devices.
Non-Disclosure Agreements (NDAs)
In addition to this Policy, Liunova may require certain individuals or entities to execute a separate Non-Disclosure Agreement (NDA) prior to receiving access to sensitive or strategic information. Such NDAs are intended to provide additional legal protection and may include specific terms related to scope, duration, and remedies.
This Policy operates in conjunction with any executed NDA. In the event of any inconsistency between this Policy and an NDA, the provision imposing the stricter confidentiality obligation shall prevail.
Data Protection & Information Security
Liunova is committed to maintaining appropriate administrative, technical, and physical safeguards to protect Confidential Information. All parties subject to this Policy are expected to comply with applicable data protection and information security requirements, including:
Secure storage and handling of physical and electronic records
Use of password protection and access controls where applicable
Immediate reporting of any suspected or actual data breach, loss, or unauthorized disclosure
Compliance with applicable local and international data protection laws and regulations
Failure to follow reasonable security practices may be treated as a breach of this Policy.
Intellectual Property
All intellectual property rights, including but not limited to inventions, discoveries, designs, processes, documentation, trademarks, and work products created, developed, or contributed to in connection with Liunova’s business shall be the exclusive property of Liunova, unless otherwise agreed in writing. Disclosure of Confidential Information does not grant any license, right, or ownership interest, whether express or implied, to the receiving party.
Duration of Confidentiality Obligations
The obligations under this Policy shall commence upon first access to Confidential Information and shall continue throughout the duration of the relationship with Liunova. Upon termination or expiration of such relationship, confidentiality obligations shall survive and remain in effect. Obligations relating to trade secrets and proprietary information shall continue indefinitely, or for as long as such information remains confidential under applicable law.
Breach of Policy and Consequences
Any breach or suspected breach of this Policy may result in serious consequences, including but not limited to:
Disciplinary action, up to and including termination of employment or contract
Immediate suspension or revocation of access to Liunova systems and information
Legal action, including claims for damages, injunctive relief, or other remedies available under law
Liunova reserves all rights and remedies to protect its interests and enforce this Policy.
Return or Destruction of Confidential Information
Upon termination of employment, contract, or upon written request by Liunova, all Confidential Information and Company property must be promptly returned or permanently destroyed. No copies, summaries, or reproductions may be retained in any form, whether physical or electronic. Certification of destruction may be required at the discretion of Liunova.
Legal Compliance and Governing Law
This Policy shall be governed by and construed in accordance with the laws applicable to Liunova’s principal place of business, without regard to conflict-of-law principles. Any dispute arising out of or in connection with this Policy shall be subject to the exclusive jurisdiction of the competent courts, unless otherwise agreed in writing.
Policy Review and Amendments
Liunova reserves the right to review, amend, or update this Policy at any time to reflect changes in legal requirements, business operations, or international best practices. Updated versions shall be made available through official Company communication channels or the Company website.
Acknowledgement
All individuals and entities subject to this Policy are required to acknowledge that they have read, understood, and agreed to comply with the terms of this Confidentiality & Non-Disclosure Policy as a condition of their engagement with Liunova.
Reporting of Confidentiality Concerns or Breaches
Any suspected or actual loss, unauthorized disclosure, misuse, or breach of Confidential Information must be reported immediately to Liunova through the designated contact channel. Liunova will investigate all reported incidents promptly and take appropriate corrective and preventive measures to mitigate risk, protect affected parties, and prevent recurrence. Failure to report a known or suspected breach may itself constitute a violation of this Policy.
